Welcome to the www.frameit.com.my website (the “Service”). Please read these Terms of Service (“Terms”, “Terms of Service”) carefully before using the www.frameit.com.my website (the “Service”) operated by Diverse Integrated Sdn Bhd (“Company”, “we”, “us” or “our”).

The Terms of Service stated herein constitute a legal agreement between you and Diverse Integrated Sdn Bhd (Company No: 200201000596 (568259-A)), a company incorporated in Malaysia and having its business address at Lot 452, Batu 61/2, Sg. Gadut, Industrial Park, 71450 Sungai Gadut, Negeri Sembilan. (“Company”, “we”, “us” or “our”).

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

PART I: INTRODUCTION 

ACCOUNTS

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. By uploading any images or content to the Website, you represent and warrant that you own the rights to such content or have obtained permission from the rightful owner. You grant Diverse Integrated Sdn Bhd a non-exclusive, royalty-free license to use, reproduce, print and process such content solely for the purpose of fulfilling your order.

Our Service may contain links to third-party web sites or services that are not owned or controlled by Diverse Integrated Sdn Bhd. Diverse Integrated Sdn Bhd has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that Diverse Integrated Sdn Bhd shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

GOVERNING LAW

These Terms shall be governed and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service. 

LIMITATION OF LIABILITY

To the maximum extent permitted by law, Diverse Integrated Sdn Bhd’s total liability to you for any claim arising out of or relating to the Service or Goods shall not exceed the total amount paid by you for the relevant order.

INTELLECTUAL PROPERTY

All designs, layouts, graphics, logos, product images and content on the Website are owned by or licensed to Diverse Integrated Sdn Bhd. No content may be copied, reproduced or used without prior written consent.

TERMINATION

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability. We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

CHANGES OF TERMS OF SERVICE

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

PART II: TERMS AND CONDITIONS OF SALE

  1. INTERPRETATION
  • “Buyer” means the person who purchases Goods on the Website;
  • “Conditions” mean these Terms and Conditions of Sale;
  • “Contract” means the contract formed when Diverse Integrated Sdn Bhd accepted the order placed by Buyer on the Website for the purchase of Goods sold by Diverse Integrated Sdn Bhd;
  • “Goods” means the goods made available for sale on the Website;
  • “Website” means the services on the website www.frameit.com.my and its related sites which are operated by Diverse Integrated Sdn Bhd.
  1. BASIS OF THE CONTRACT

When the Buyer has placed an order on the Website for the purchase of Goods sold by Diverse Integrated Sdn Bhd and Diverse Integrated Sdn Bhd has accepted the same, this shall constitute a Contract entered into directly between the Buyer and Diverse Integrated Sdn Bhd. 

  1. ORDERS 

3.1 The Buyer may purchase Goods by placing and completing the order form on the Website and shall be responsible for ensuring the accuracy of the order. 

3.2 Order acceptance and completion of the Contract between the Buyer and Diverse Integrated Sdn Bhd will only be completed upon Diverse Integrated Sdn Bhd issuing a confirmation of dispatch of the Goods to the Buyer.

  1. PRICE

4.1 The price of the Goods shall be the price stated on the Website at the time which the Buyer places and completes the order form on the Website. The price includes any applicable sales and services tax, but it excludes the delivery charges.

4.2 In the event that a Goods has been mispriced on the Website, Diverse Integrated Sdn Bhd reserves the right to terminate the Contract, and notify the Buyer of such cancellation. Diverse Integrated Sdn Bhd shall have such right to terminate the Contract notwithstanding that the Goods have been dispatched or are in transit or that payment has been charged to Buyer.

4.3 Colours of the Goods displayed on the Website may vary slightly from the actual product due to screen display settings. Such variations shall not be considered defects.

  1. TERMS OF PAYMENT

5.1 The Buyer shall be entitled to make payment for the Goods using the various payment methods made available on the Website. When Buyer places an order on the Website, actual payment shall be only charged upon Diverse Integrated Sdn Bhd’s acceptance of Buyer’s order and the formation of a Contract. 

5.2 The below payment method may also be subject to the following terms and conditions:

5.2.1 Online Banking

By choosing this payment method, the Buyer shall transfer the amount of the total purchase price for the Goods purchased on the Website (including any applicable taxes, fees and shipping costs). The transaction must be payable in Ringgit Malaysia. Diverse Integrated Sdn Bhd, in its sole discretion, may refuse this payment option service to anyone or any user without notice for any reason at any time.

5.3 Buyer may not claim against Diverse Integrated Sdn Bhd for any failure, disruption or error in connection with the Buyer’s chosen payment method. Diverse Integrated Sdn Bhd reserves the right at any time to modify or discontinue, temporarily or permanently, any payment method without notice to the Buyer or giving any reason.

5.4 If the Buyer fails to make any payment pursuant to the terms and conditions of the payment method elected or payment is cancelled for any reason whatsoever, then without prejudice to any other right or remedy available to Diverse Integrated Sdn Bhd, Diverse Integrated Sdn Bhd shall be entitled to cancel the Contract or suspend deliveries of the Goods until payment is made in full.

5.5 All payments for the purchased Goods must be made to Diverse Integrated Sdn Bhd using the payment methods made available on the Website only. Diverse Integrated Sdn Bhd shall not be held responsible for any losses which may arise from payments made directly to Third Party Vendors or through payment methods apart from the available payment methods on the Website.

  1. DELIVERY OF GOODS

6.1 Buyer is expected to receive the Goods between 7-15 working days upon receipt of Buyer’s full payment.

6.2 Delivery of the Goods shall be made to the address specified by the Buyer in its order.

6.3 Any dates quoted for delivery of the Goods are approximate only and delays may occur. The time for delivery shall not be of the essence, and Diverse Integrated Sdn Bhd shall not be liable for any delay in delivery.

6.4 If Diverse Integrated Sdn Bhd has failed to deliver the Goods within 15 working days after the payment date, the Buyer shall email us at timetoframeit@gmail.com to check the Buyer’s order status.  If Diverse Integrated Sdn Bhd fails to do so within the specified time, the Buyer shall be entitled to terminate the Contract and claim a refund in respect of the undelivered Goods. Refunds will be handled through email if necessary.

  1. RETURN, REFUND AND EXCHANGE OF GOODS

  1. TERMINATION

8.1 Buyer may terminate the Contract before Diverse Integrated Sdn Bhd dispatches the Goods, by emailing us at timetoframeit@gmail.com. If the Goods have already been dispatched, Buyer may not terminate the Contract but may only return the Goods in accordance with Clause 7 of these conditions.

8.2 Diverse Integrated Sdn Bhd may stop any Goods in transit, suspend further deliveries to the Buyer and/or terminate the Contract with immediate effect by written notice to the Buyer on or at any time after the occurrence of any of the following events:

8.2.1 The Goods under the Contract being unavailable for any reason; and/or

8.2.2 The Goods under the Contract has been wrongly priced on the Website.
